By using HEALTHMRS™, you agree to the following terms and conditions as part of the Service Provider & Licensing Agreement.

1. HEALTHMRS™ is a cloud-based software as a service (SAAS) platform and is an online medical record service provider that gives access to the end user (Customer) to utilize the software in order to create, modify, store, and retrieve clinical and patient medical record data.

2. There are no software installations involved at the user end hardware and hence there is no sale of Licensed software involved between the service provider and the user (Customer). Broomfield Technologies LLC USA and Broomfield Technologies India Private Ltd are the sole owners and service providers of the HEALTHMRS™ software as a service (SAAS) platform. Henceforth they collectively will be referred to as Broomfield Technologies in this document. The end users are representatives of the clinics who are granted access to use the HEALTHMRS™ system by the service providers.

3. HEALTHMRS™ service providers grant their customers a non-transferable right to use the software as a service with unique access credentials such as username, password, etc. The Customer is responsible for the protection of such unique access credentials. HEALTHMRS™ is not responsible for the consequences arising out of failing to adequately protect the unique access credentials including but not limited to leak of the database, modifications of patient data, deletion of patient data, abuse of patient records, etc.

4. HEALTHMRS™ advises the Customer to change the access credentials frequently as per their convenience and construct the password with complexity as per standard IT security policies of their own.

5. HEALTHMRS™ is free to use for the first 3 months which is considered a trial period. At the end of the trial period, HEALTHMRS™ will charge the end user as per the agreed tariff bundle with sales professionals of HEALTHMRS™ by way of buying prepaid credits. Usage credits will have to be purchased by the customers or clinics for each patient visit or each day the patient is seen in the clinic until they are discharged, and the visit is ended.

6. Any difficulties could be communicated to the HEALTHMRS™ service center by e-mail to avail of the service support for the resolution of the difficulties.

7. Any payment issues shall be settled within 60 days from the invoice date to continue access to HEALTHMRS™.

8. Customers will be given rights to access the software with unique access credentials. HEALTHMRS™ is a tool to aid the customer in avoidance of medical error, reduction of diagnostic time, and utilizing past data to determine correct medical procedures for treatment and it helps doctors, nurses, and other medical technologists who practice in their own clinics or multi-specialty hospitals.

9. Customers have been given rights to use the HEALTHMRS™ expressly for the above-said purpose only and not for any other purposes.

10. Service providers of HEALTHMRS™ will take a regular back-up of the patient database periodically, however, this facility exists only as a privilege. It is advisable for customers to take a snapshot at the end user (Customer) side also to avoid loss of patient data in the event of exceptional conditions like ransomware attack, virus threat, hackers attack, cloud system unavailability, etc.,

11. Broomfield Technologies will also try to make the service available to the hospitals most of the time. But there will be a regular time in the night when the service will be shut down and restarted and or for regular maintenance and system upgrades. During these times an email will be sent that the service will be unavailable (for daily or other regular maintenance one-time email) and for other unplanned maintenance, per instance, an email will be sent.

12. Broomfield Technologies is not responsible for any outages due to other service provider issues like your own ISP outage or Broomfield Technologies SAAS platform outages due to natural reasons such as power outages etc. and due to outage of cloud service providers.

13. HEALTHMRS™ is the property of Broomfield Technologies and by agreeing to the terms and conditions, the end user(Customer) does not possess/claim the ownership, copyright, trademark, trade secrets, patents, patient data, or Intellectual property rights of HEALTHMRS™.

14. Customer agrees that only authorized doctors, officers, receptionists, lab technicians, nurses, employees, and pharmacists of the customer will use the HEALTHMRS™ or have access to the Licensed Software (or to any part thereof) and that none of the doctors, officers, receptionist, Lab technicians, nurses, employees, and pharmacists will disclose HEALTHMRS™ or any portion thereof, or permit the Licensed Software, or any portion thereof, to be used by any person or entity other than those entities identified in the Sale Agreement. Customer acknowledges that certain of the rights of HEALTHMRS™ may be derived from Service Provider Agreements with third parties, and Customer agrees to preserve the confidentiality of information provided by HEALTHMRS™ under such third-party license agreements.

15. The intellectual property of the HEALTHMRS™ SAAS(software as a service) platform is owned by Broomfield Technologies LLC USA. Broomfield Technologies India Private Limited owns the customer relationship. The data ownership is by Broomfield Technologies India Pvt Ltd. The customer agrees hereby not to provide the screenshots and workflows or other artifacts of the HEALTHMRS™ system to any competitors or nonusers of HEALTHMRS™ and Broomfield Technologies.

16. If the clinics disclose patient data to unauthorized personnel without the consent of the patient, then that will be considered a data breach and breach of this agreement. If the customer uses the system in any way to affect the functioning of the system, it will be considered a non-recommended usage and their usage will be terminated. The usage of the HEALTHMRS™ by the customer can be terminated by Broomfield Technologies if there was a data breach by the customer or if Broomfield Technologies decides it is no longer advisable to provide the service to the clinic for not using the system as recommended. Any payment done for unused credits may not be reimbursed to the customer.

17. The customers /clinic authorized users are not supposed to allow unauthorized users from using the system or allow unauthorized people to have access to patient data. This will result in the discontinuation of the service without a refund of any credits.

18. Broomfield Technologies is not responsible for any incorrect information entered by the customers or loss of data due to the service or any data that was not entered by the clinics or by authorized users into the HealthMRS™ system.

19. HEALTHMRS™ is a software service provider to the Customer which helps the Customer in the creation, modification, storage, and retrieval of patient records only and the system or the representatives of Broomfield technologies do not have any involvement whatsoever in the diagnoses, treatment of any patient and hence do not carry any responsibility on patient healthcare status, illness, healing, inappropriate treatment, prescription of inappropriate medicines by customers or their representatives and therefore do not hold any responsibility for any consequential damages/effects on the patient due to any errors in the diagnosis, treatment or any other aspects whatsoever in the healthcare process.

20. Users of HEALTHMRS™ are expected to use the latest version of Google Chrome browser only for utilizing the software. Only the Chrome browser will show this document while the user logs in for the first time and then periodically If a user is not using the Google Chrome browser and if they are using some other browser, Broomfield Technologies will not support any operations done on the HEALTHMRS™ platform. It will also be assumed that the user automatically agrees to the contents of this document if they are using some other browser than the latest version of Google Chrome that is available. The contents of the document will also be available in the help document as an addendum in the HEALTHMRS™ system.

21. Broomfield Technologies reserves the right to change the pricing for the usage of the system by customers. The pricing can also vary for different types of usage and amount of usage. We will provide a notice when the price changes and the effective date of the change. If the user is not able to make prompt payment after the free usage period is over, Broomfield Technologies reserves the right to stop the user from using the system further if payment is not made promptly. Any data related to patients previously stored might not be available if the users do not make payments for continuous use of the system without any break in between.

22. Broomfield Technologies will provide reasonable support and help through email or messaging during weekdays. During weekends help might not be available and the users are encouraged to use the online help system.

23. Broomfield Technologies reserves the right to limit the per file size of the images and other radiology files and the number of files based on the payment tier.

24. Broomfield Technologies reserves the right to make amendments to this end-user usage agreement as needed.

25. Broomfield Technologies will not utilize individual patient data for any purposes other than billing purposes and for obtaining population analytics. Clinical patient data usage by providers is the responsibility of the individual clinics.

26. HealthMRS services are protected by a firewall. All users of HealthMRS should logout when not using the system. All users should check the ‘from’ email address of any email communication that comes to them from Broomfield technologies, ensure it is from our registered email address only, and not click on any links in scam emails. HealthMRS users should enable screen locks in their devices while using the system when they move away from the system to prevent data theft. HealthMRS users should not allow non-users (people who do not have valid login credentials) to login using their or other user credentials. All users are required to not perform any activity similar to hacking or purposefully hack the system to prevent it from working or try to access data they should not be accessing or bring down the system. All users are required not to install malware or virus-containing files into the HealthMRS system. All such activities will be immediately notified to all relevant law enforcement agencies in all applicable jurisdictions. In the event that HealthMRS system is compromised/attacked/hacked and any data loss occurs, Broomfield technologies will immediately notify law enforcement agencies and further secure the system. Broomfield Technologies will do everything possible to bring the system back as soon as possible and are not responsible for any data loss or any lost time for their services.
